1.
INTRODUCTION
By submitting your details and applying to participate in the VMCC Builder DAO Partner Program managed by MOBI Automation – FZCO (referred to as “MOBI Automation”, “we”, “us”, or “our”), you, whether acting personally or on behalf of a blockchain project, token, DAO, foundation, or legal entity (“Partner”, “you”, or “your”), agree to be bound by these Terms and Conditions.
If you do not agree to these Terms, you must not proceed with the application or access any Partner features, dashboards, referral systems, or ecosystem tools.
These Terms govern your participation in the VMCC Builder DAO Partnership Program, including access to the VMCC Builder Workstation, listing on the Atlantus Coin Market (ACM), token integration mechanisms, and any related ecosystem utilities, tools, protocols, or features made available to approved Partners (collectively, the “Partner Features”). Participation is permissioned and subject to review and approval.
2.
ELIGIBILTY
To apply for and participate in the Partner Program:
2.1
You must be of legal age in your jurisdiction or have the legal capacity to enter into binding agreements.
2.2
If applying on behalf of an entity, you must have full authority to bind that entity to these Terms.
2.3
Your project must operate lawfully in its jurisdiction and must not be subject to sanctions, regulatory prohibition, or enforcement restrictions.
2.4
You must not have previously been suspended, delisted, or banned from the VMCC Builder DAO ecosystem unless expressly reinstated in writing.
2.5
Participation is limited to approved crypto or blockchain projects aligned with VMCC Builder DAO standards. Submission of an application does not guarantee acceptance. MOBI Automation reserves the right to approve, reject, suspend, or revoke eligibility at its sole discretion.
2.
ECOSYSTEM SCOPE AND TOKEN INTEGRATION
The partnership shall include:
3.1
Integration of the Partner’s token into approved ACM and VMCC ecosystem utilities, including listing, designated reserve, transactional, or utility functions where applicable.
3.2
Structured liquidity alignment, where approved mechanisms may support ecosystem utility participation and treasury-aligned mechanisms or ecosystem-based token utility participation, subject to internal risk controls and compliance review.
3.3
Coordinated community collaboration, including joint ecosystem awareness, cross-community engagement initiatives, educational sessions, and aligned participation campaigns designed to promote responsible adoption and transparent interaction.
3.4
Referral-linked participation, where the Partner receives a unique referral structure enabling the tracked onboarding of community members through approved dashboard tools.
3.5
Eligibility for ecosystem-based rewards, allocations, or treasury-linked participation, where defined portions of qualifying activity may contribute to structured acquisition, reserve participation, or other token-aligned mechanisms within the ACM framework.
3.6
The Partner acknowledges that token listing, liquidity participation, referral eligibility, and all ecosystem privileges are conditional upon continuous compliance with VMCC Builder DAO standards, technical integration requirements, governance policies, market integrity safeguards, and the operational guidelines set by us.
3.7
Token listing does not constitute endorsement, investment advice, price support, guarantee of liquidity, or assurance of market performance. All integrations remain subject to ongoing monitoring, risk assessment, and discretionary review.
4.
PARTICIPATION IN THE PARTNERSHIP PROGRAM
4.1
The Partner shall complete all required onboarding, wallet attestations, identity disclosures, and documentation. Participation is permissioned and subject to MOBI Automation’s sole approval, which may be granted, restricted, suspended, or revoked at any time.
4.2
Upon approval, we shall issue the Partner a unique referral code with the applicable platforms, dApps, or interfaces.
4.3
The Partner shall only refer genuine participants from its crypto community, including DAO members, token holders, wallet users, or ecosystem participants.
4.4
The Partner shall communicate about the ecosystem, protocols, tokens, utilities, or digital assets strictly using approved materials. The Partner shall not alter messaging, promise returns, misstate functionality, or issue unapproved claims.
4.5
All telecasts, AMAs, spaces, broadcasts, and community engagement must be transparent, non-coercive, and free from manipulation, misrepresentation, or deceptive token-marketing practices.
4.6
The Partner shall ensure all moderators, delegates, VMCC Workstation administrators, or representatives acting on its behalf comply with this Agreement, VMCC Builder DAO rules, and all platform governance and operational policies.
4.7
We may approve, limit, suspend, or reject any Partner, referral, wallet address, or participant, and may require audits, wallet reviews, or compliance checks, without obligation to provide reasons.
5.
WARRANTIES PROHIBITED CONDUCT
5.1
The Partner shall not custody, control, access, sign for, manage, or transact any wallet, private key, multisig, smart contract, or digital asset on behalf of any user, except where legally authorized and expressly approved.
5.2
The Partner shall not perform onboarding, account creation, KYC, wallet setup, whitelisting, or sign-ups for any community member, nor impersonate or act on behalf of any user.
5.3
The Partner shall not hold itself out as an agent, employee, DAO operator, or legal representative of our ecosystem, nor bind us to any agreement, promotion, or third-party collaboration without prior written approval. Nothing in this Agreement creates a joint venture, agency, fiduciary relationship, or partnership in the legal sense.
5.4
The Partner shall not solicit, collect, receive, pool, escrow, or route funds, tokens, NFTs, or digital assets from community members for any purpose connected to us. All transactions must occur through official, permissioned channels.
5.5
The Partner shall not misrepresent protocol functionality, token utility, governance rights, VMCC access, referral mechanics, rewards, incentives, or ecosystem benefits, and shall not use hype, guarantees, price predictions, or deceptive token-marketing practices.
5.6
The Partner is solely responsible for its own regulatory compliance in all jurisdictions in which it operates.
6.
PARTNERSHIP BENEFITS AND ALLOCATIONS
6.1
The Partner’s native token shall be listed as one of the reserved currencies within our ecosystem, enabling approved utility functions and interactions.
6.2
The Partner shall receive a unique referral code that enables the Partner’s VMCC to earn a percentage allocation tied to the activities of referred community members.
6.3
The Partner shall receive access to a personalized VMCC Partner Workstation, which provides analytics on community growth, referral activity, engagement data, and ecosystem interactions.
6.4
A defined percentage of every Genesis Key purchased through the Partner’s referral activity shall be used by MOBI Automation to facilitate structured token acquisition mechanisms in accordance with internal treasury policies and applicable compliance standards
6.5
We may adjust the scope, structure, or percentage allocations of referral benefits at any time. Continued participation after the notice period shall constitute acceptance of the updated terms.
6.6
Nothing in this Agreement creates a monetary commission structure.
7.
SUSPENSION, DELISTING, AND OFFBOARDING
7.1
We may suspend, restrict, or revoke any ecosystem privileges granted to the Partner, including referral codes, wallet-based access, dashboard permissions, token-utility status, governance participation, or community-integration rights, where any of the following occurs:
7.1.1
The Partner submits false, misleading, incomplete, unverifiable, or manipulated information during onboarding, wallet verification, or at any time during participation in the ecosystem.
7.1.2
The Partner infringes, forks, clones, misuses, or otherwise violates intellectual property, smart-contract code, protocol designs, brand assets, or digital content owned by us or any third party.
7.1.3
We identify suspicious, irregular, exploitative, or harmful on-chain or off-chain activity linked to the Partner’s referrals, wallet addresses, nodes, workstations, dashboards or any account reasonably determined to be controlled, influenced, or coordinated by the Partner.
7.1.4
MOBI Automation determines that referral flows, community traffic, listing and DCA, incentive usage, token distribution, or promotional behaviour constitutes wash activity, manipulation, fraud, abuse, or any form of dishonest or artificial engagement.
7.1.5
The Partner directly or indirectly engages in, facilitates, or is reasonably connected to any fraudulent, deceptive, manipulative, or unlawful activity affecting our ecosystem.
7.2
Where a breach or risk is identified, MOBI Automation may take any of the following actions without liability:
7.2.1
Suspend or permanently disable the Partner’s referral code.
7.2.2
Remove the Partner’s token from the reserve currency list and delist it from ACM and other token support mechanisms.
7.2.3
Restrict or revoke workstation access and ecosystem permissions.
7.2.4
Freeze all pending referral-based ecosystem allocations.
7.2.5
Offboard the Partner from the VMCC ecosystem.
7.2.6
Publicly update partner-status indicators where ecosystem integrity or compliance requires it.
7.3
We may sell or liquidate any Partner tokens held in the COA Treasury for risk mitigation, ecosystem protection, or compliance with legal or operational standards.
7.4
Previously referred community members remain within the VMCC Builder DAO without ongoing Partner rights or benefits.
7.5
To the fullest extent permitted by applicable law, the Partner waives claims arising solely from actions taken in good faith under this clause.
8.
INTELLECTUAL PROPERTY AND ECOSYSTEM ASSETS
8.1
All Intellectual Property, including smart contracts, protocol code, token designs, NFTs, workstations, dashboards documentation, trademarks, brand assets, and ecosystem architecture owned or controlled by a Party before this Agreement remain the exclusive property of that Party. No rights are transferred, licensed, or implied unless expressly granted in writing.
8.2
Except where expressly authorised, neither Party may copy, fork, deploy, modify, mirror, distribute, tokenize, or otherwise exploit the other Party’s Intellectual Property, whether on-chain or off-chain. Any approval granted is limited, non-exclusive, non-transferable, revocable, and scope-restricted.
8.3
The Partner acknowledges that all the ecosystem assets, including branding, visuals, interfaces, dashboards, workstations, protocol materials, Genesis Keys, and related digital content, are owned exclusively by us. No ownership, governance rights, or derivative rights are granted under this Agreement.
8.4
The Partner shall not engage in any conduct, on-chain or off-chain, that may dilute, misrepresent, fork, impersonate, or otherwise harm our integrity, reputation, value, or goodwill, or that of any associated protocol, token, or brand.
8.5
Any Partner-created promotional or ecosystem-related content referencing COA, MOBI Automation, VMCC Builder DAO, Genesis Keys, tokens, or protocols must comply with our standards. We may require immediate modification or takedown of any material that breaches ecosystem, governance, or compliance standards.
9.
CONFIDENTIALITY AND PROTOCOL SECURITY
9.1
Each Party shall safeguard all non-public information exchanged under this Agreement, including private keys, wallet data, access credentials, off-chain user data, protocol parameters, governance processes, smart-contract logic, technical architecture, and security procedures, and shall implement reasonable technical and operational controls to prevent unauthorized access, leakage, or misuse
9.2
Confidential Information shall be used solely for purposes permitted under these terms. It shall not be disclosed to any third party, wallet address, DAO participant, validator, or protocol, except where required for performance or governance execution, or where a competent authority compels disclosure.
9.3
Confidentiality obligations do not apply to information that is already public on-chain, becomes publicly available without breach, is independently developed without reference to Confidential Information, or is trivial or non-sensitive in nature.
10.
INDEMNIFICATIONS
The Partner shall indemnify, defend, and hold harmless MOBI Automation, its affiliates, officers, operators, contributors, and service providers from and against any losses, liabilities, damages, claims, penalties, costs, and expenses arising out of or in connection with:
10.1
Any failure by the Partner to perform its obligations under this Agreement, comply with ecosystem rules, governance policies, or platform standards, or responsibly manage its wallets, nodes, smart contracts, token infrastructure, or related technical systems.
10.2
Any dishonest, fraudulent, negligent, reckless, unlawful, or criminal act or omission by the Partner or any person acting on its behalf, including any misrepresentation made to users, community members, regulators, or ecosystem participants.
10.3
Any claim, demand, investigation, enforcement action, regulatory proceeding, or dispute brought against MOBI Automation by users, partners, regulators, exchanges, or third parties arising from or relating to the Partner’s actions, omissions, token operations, promotional conduct, or breach of this Agreement.
10.4
Any losses or liabilities arising from vulnerabilities, exploits, governance attacks, liquidity issues, exchange restrictions, system outages, unauthorized access, or technical failures linked to the Partner’s token or infrastructure
11.
PARTNER ONBOARDING DATA USE
11.1
Information submitted by the Partner during onboarding, including but not limited to entity details, token information, wallet addresses, contact information, compliance documentation, and supporting materials, is collected solely for the purpose of evaluating, processing, and managing the Partner’s token listing and ecosystem participation.
11.2
All submitted information shall be processed strictly for listing review, technical integration, compliance assessment, liquidity coordination, referral structuring, treasury alignment, and general ecosystem partnership administration.
11.3
Partner onboarding information shall be treated as confidential and accessed only by authorised personnel, advisors, or service providers involved in listing evaluation, compliance review, operational integration, or ecosystem management.
11.4
The Partner acknowledges that other VMCC Builder DAO protocols, software utilities, dashboards, automation systems, and related activities may have independent data processing frameworks and privacy policies governing their respective operations. Participation in such services shall be subject to their applicable processing terms.
11.5
Information may be disclosed where required by applicable law, regulatory authority, court order, sanctions screening requirement, or where necessary to protect ecosystem integrity and prevent fraud.
11.6
Partner information collected through the onboarding process shall not be sold or commercially traded.
11.7
The Partner acknowledges that token transactions, wallet or contract addresses, and on-chain activities related to listing and liquidity participation may be publicly visible on blockchain networks and are not subject to alteration or deletion.
11.8
These data handling provisions survive delisting, suspension, or termination of the partnership.
11.9
Information may be processed, stored, or transferred across jurisdictions where our infrastructure, compliance partners, or technical providers operate. By accepting these Terms, you consent to such transfers.
12.
LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, MOBI Automation shall not be liable for any indirect, incidental, consequential, punitive, or special damages.
13.
ACCEPTANCE
By checking the designated acceptance box and submitting the Partner application, you represent and warrant that you have read and understood these Terms and Conditions, that you are duly authorised to bind the applying entity (where applicable), and that all information provided in connection with the application is true, accurate, complete, and not misleading
